Ideally all software contracts should include provision for Software Escrow, Software IP protection and Source Code Management, particularly if the solution is integral and critical to the business. SES supplies a range of Escrow agreements to suit a range of circumstances.
Single User Escrow Agreement
The single user Escrow agreement is a three party Software Escrow solution between the software owner, end user and SES for bespoke software that has been developed for the end user's particular requirements. Under the terms of the Escrow the software owner will deposit with SES the source code version of the licensed programs including passwords, encryption details and all other relevant documentation, including data where applicable. In the event of the software owner’s demise, the user can retrieve the source code and supporting material from SES in order to continue using the product without any interruption or downtime to their business.
Multi User Escrow Agreement
The Multi User Escrow Agreement is a Software Escrow solution designed for standard multiple user applications. In most cases the software owner would set-up the agreement directly with SES. Once the Escrow agreement is live, any licensed user can register to the agreement. Under the terms of the Escrow the supplier will deposit with SES the source code version of the licensed programs including relevant passwords, encryption details and all relevant documentation. In the event of software owner failure the users can retrieve the source code from SES in order to continue using the product without any interruption or downtime to their business.
Bespoke Escrow Agreement
SES can tailor Software Escrow agreements to meet all parties’ requirements. We understand that there are many different ways of licensing software to end users through server based applications, cloud solutions and through certified software distributors or reseller channels. These circumstances can reflect who provides support & maintenance, who owns the IP and who deposits the source code. SES provides comprehensive advice as an independent third party Escrow specialist on the most suitable Escrow agreement for all parties.
