Scenario: A large retail chain relies on a third‑party SaaS provider for its inventory management system. This platform tracks stock levels, automates reordering, and integrates with point‑of‑sale systems across hundreds of stores.
The risk: If the SaaS provider suddenly goes bankrupt, gets acquired, or suffers a major outage, the retailer could lose access to the software and its critical data. That would disrupt supply chains, cause stockouts, and potentially cost millions in lost sales.
The solution: The retailer and SaaS provider agree to deposit the application’s source code, documentation, and deployment instructions with a trusted Escrow agent. The agreement states that if the provider fails to meet obligations (e.g., insolvency, service discontinuation), the Escrow agent releases the materials to the retailer.
The outcome: When the SaaS provider unexpectedly shuts down, the Escrow agent releases the source code. The retailer’s IT team (or a new vendor) can then deploy and maintain the system internally or migrate to another platform. Operations continue with minimal disruption.
