Problem

Impress Solutions were approached by a client seeking robust Software Escrow and Source Code Validation assurances for two mission‑critical applications. Drawing on their positive experience partnering with SES on an earlier escrow project, Impress Solutions were confident that SES had the specialist expertise needed to deliver a solution fully aligned with the project scope and the client’s expectations.

Solution

Through crafting a bespoke Master Framework Software Escrow agreement, Impress Solutions now have the flexibility to deposit the relevant source code and application materials for each platform under separate repositories. From there, on an annual basis, SES’s expert Source Code Validation Consultants work with the Impress Solutions development team to witness and record the validation process which is secured in the respective repository with the platform source code and materials.

Outcome

This approach allowed Impress Solutions to register several applications under a single framework of Software Escrow terms, eliminating the cost and complexity of maintaining multiple separate agreements. The annual Source Code Validation process gives their client ongoing confidence that SES can deliver a reliable and effective exit strategy if the Software Escrow Agreement is ever activated, strengthening long‑term continuity and resilience.
