Essentially, Software Escrow is a risk mitigation tool that ensures business continuity and operational resilience through providing companies with maintained access to a critical software application in the event that the software application’s provider encounters disruption and/or failure. Ultimately, Software Escrow can form the foundation of an effective risk mitigation strategy. Without a risk mitigation strategy in place, a disruption event can lead to:

  • Business operations coming to a stop.
  • Damaged stakeholder relationships.
  • Financial loss.
  • Reputational damage.

The Software Escrow process involves an Escrow agent, such as SES Secure, receiving deposits of source code and other relevant materials. Source code refers to the code that determines the behaviour, features, and functionality of a software application. These materials are tested and verified to ensure that they are accurate and up to date. Additionally, updated deposits can be provided to the Escrow agent as and when the software application is updated and/or altered. This ensures that in the event of a source code release, the end-user has access to the latest version of the required software application.

SES responded by implementing a Master Services Agreement, consolidating multiple individual contracts into one streamlined solution.

The result was a 40% cost saving and a 70% reduction in administration, prompting Network Rail to migrate their entire escrow portfolio to SES.
